1. About These Terms

These Terms and Conditions (“Terms”) govern the purchase of products and the use of this website (huanhuanpower.com) operated by Dongguan Huanhuan Energy Technology Co., Ltd. (“HHPOWER”, “we”, “us”). By requesting a quotation, placing an order, or otherwise purchasing from us, you (“Buyer”, “you”) agree to these Terms. If you do not agree, please do not place an order.

These Terms apply to business-to-business transactions. We do not sell to consumers for personal, family or household use.

2. Definitions

  • Products — battery cells, battery packs and related goods supplied by us.
  • Order — a purchase request submitted by the Buyer and accepted by us in writing.
  • Proforma Invoice (PI) — our written offer stating products, quantity, price, payment terms, delivery terms and lead time.
  • Incoterms — the trade terms stated on the PI, as defined by the current edition of Incoterms published by the International Chamber of Commerce.

3. Quotations and Pricing

All quotations are valid for 30 days from the date of issue unless stated otherwise. Prices are quoted in US dollars and are exclusive of freight, insurance, export/import duties, value-added tax and any bank charges, unless the PI states otherwise.

Prices for battery cells depend on cell chemistry, capacity, quantity and configuration. Published prices, where shown, are indicative only and may change with raw material costs, exchange rates and order volume. The price on the accepted PI prevails.

4. Orders and Acceptance

An Order constitutes an offer to purchase. A contract is formed only when we issue a written order confirmation or a signed PI. We may decline an Order where the requested quantity, specification, destination or payment terms cannot be met.

Where the Buyer supplies drawings, specifications or branding for OEM/ODM production, the Buyer is responsible for their accuracy and for holding all necessary rights to use them.

5. Payment

Payment terms are those stated on the accepted PI. Accepted payment methods are bank transfer (T/T) and, for sample orders, online payment as agreed in writing. Bank charges, intermediary fees and currency conversion costs are borne by the Buyer.

Production begins after the agreed deposit is received and cleared. Where payment is overdue, we may suspend production or shipment and charge interest at 0.05% per day on the outstanding amount.

6. Lead Time and Delivery

Lead times stated on the PI are estimates calculated from receipt of deposit and confirmation of specifications. They exclude weekends, public holidays and any delay caused by the Buyer (for example, late artwork approval or late shipping instructions).

Delivery terms, risk transfer and the place of delivery are governed by the Incoterm stated on the PI. Shipping arrangements and restrictions specific to lithium batteries are described in our Shipping & Delivery Policy.

7. Inspection and Acceptance

The Buyer must inspect the Products on arrival and notify us in writing of any shortage, visible damage or specification mismatch within 7 calendar days of delivery. Where no notice is received within that period, the Products are deemed accepted.

Capacity, voltage and internal resistance are measured under the test conditions stated in the product datasheet. Minor variation within the tolerances stated in the datasheet does not constitute a defect.

8. Limited Warranty

We warrant that Products are free from manufacturing defects for 12 months from the date of delivery, or for the warranty period stated on the PI if different.

The warranty does not cover: normal capacity fade and cycle ageing; damage caused by over-charging, over-discharging, reverse charging, short circuit, or use outside the specified voltage, current and temperature range; physical damage, immersion, fire or accident; storage in a humid or high-temperature environment; unauthorised disassembly, modification or repair; or use in applications for which the Product was not specified.

Warranty claims must be supported by the order number, batch code, photographs or video, and test data. Our obligation is limited to repair, replacement or credit at our option.

9. Returns

Returns are handled under our Refund and Returns Policy. Because lithium cells are regulated dangerous goods, returns may be refused where safe reverse transport cannot be arranged.

10. Intellectual Property

All intellectual property in our products, designs, datasheets, drawings and this website remains our property. Nothing in these Terms transfers ownership of that intellectual property to the Buyer.

For OEM/ODM projects, the Buyer retains ownership of its own trademarks and designs and grants us a limited licence to use them solely to fulfil the Order. We retain ownership of our manufacturing processes, cell formulations and tooling know-how.

11. Confidentiality

Each party will keep confidential any technical, commercial or pricing information received from the other and will use it only for the purpose of performing the contract. This obligation survives termination for a period of three years.

12. Compliance and Export Control

Products are supplied with the documentation required for lithium battery transport, including the UN38.3 test summary, MSDS and, where applicable, a Certificate of Origin and IEC 62133 report. The Buyer is responsible for obtaining any import licence, product registration or certification required in the destination country, and for complying with applicable export control and sanctions laws.

The Buyer must not resell the Products to any party subject to trade restrictions, or for use in weapons, and must not use them in applications where failure could cause personal injury without independent safety validation.

13. Limitation of Liability

To the maximum extent permitted by law, our total liability arising from any Order is limited to the invoiced value of that Order. We are not liable for loss of profit, loss of production, loss of contracts, or any indirect or consequential loss.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, or for fraud.

14. Force Majeure

We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemic, war, civil unrest, government action, port closure, carrier disruption, or shortage of raw materials. Where such an event continues for more than 60 days, either party may cancel the affected Order without penalty, and payments for undelivered goods will be refunded.

15. Governing Law and Disputes

These Terms are governed by the laws of the People’s Republic of China. The parties will first attempt to resolve any dispute through good-faith negotiation within 30 days. If unresolved, the dispute will be submitted to the competent people’s court of Dongguan, Guangdong Province.

16. Changes to These Terms

We may update these Terms from time to time. The version in force at the time an Order is accepted governs that Order.
